atares advises Trivium eSolutions on the formation of a new software engineering platform with NetRom and Investcorp
atares, the digital M&A manufactory for technology-driven companies, acted as exclusive M&A advisor to the shareholders of Trivium eSolutions in forming, together with the Dutch company NetRom Software, a new European platform for software engineering. The platform’s anchor investor is the globally active technology investor Investcorp Technology Partners (ITP). Trivium and NetRom join as founding members, with the ambition to each excel independently while growing together as a group.
The platform brings together the strengths of two established software engineering houses: NetRom, part of the Investcorp portfolio since 2023, and Trivium as a new founding member. Going forward, the founding members will serve their clients with a significantly broader range of services across the entire digital value chain, from software architecture, design and technology consulting through AI-powered software development to managed services, and will jointly invest in new, AI-native solutions. The two companies complement each other on several levels: NetRom contributes its nearshore strength and Team-as-a-Service expertise with around 460 employees and two delivery centres in Romania, while Trivium brings its deep know-how in Industrial AI, architecture consulting and industry-oriented software development with around 180 experts at its locations in Germany, the Netherlands and India.
The atares team led by Partner Florian Liepert and Maximilian Förster supported the process across all phases, from strategic preparation and the build-up of a broad, international investor universe through to the negotiation of the contractual documentation and the successful closing. The transaction, which sits within atares’s focus vertical Industry Tech, posed particular challenges: with locations in Germany, the Netherlands and India, Trivium operates across three jurisdictions. atares managed this cross-border complexity in a structured process tailored to the shareholders, consistently kept to the agreed timeline and secured a transaction structure that optimally matched the goals of Trivium eSolutions’ shareholders, including a reinvestment in the new corporate group.
