atares supports successful sale of ARBOR Group companies to INTEC Holding
“Merging Vision” realized – Three high-tech service providers come together under the umbrella of INTEC Holding
Munich, May 13, 2025. atares, the digital M&A specialist for technology-driven companies, acted as exclusive financial advisor to ARBOR Gruppe GmbH on the sale of its operating companies SCOPE Engineering GmbH, OSW Technische Dokumentation Verlag GmbH and TECO Technical Concept GmbH to INTEC Holding GmbH.
With this transaction, atares lives up to its claim of “Merging Vision”: By merging complementary competencies, a high-performance engineering and documentation group is being created that has the potential to become the leading provider of safety-critical systems and technical documentation in Europe.
The transaction was complex in several ways: it involved the simultaneous sale of three legally independent companies with heterogeneous shareholder structures, two seller parties, a management reinvestment, a complex purchase price structure and extensive carve-out arrangements. atares structured a competitive process with investor approach, led the management presentations, coordinated the multidisciplinary due diligence and negotiated the contractual documentation together with the sellers up to signing and closing.
With economic effect from May 1, 2025, INTEC Holding GmbH – which already owns INTEC Industrie-Technik GmbH – acquired a majority stake in SCOPE, OSW and TECO. The three companies complement INTEC’s core business with services in the development of safety-critical systems, Integrated Product Support (IPS) and Integrated Logistics Support (ILS), technical documentation, system integration and product and software development. Under the umbrella of INTEC Holding, the companies intend to bundle, strengthen and jointly expand their expertise, thereby creating the basis for long-term, future-oriented growth.
