MECOMO AG & Giesecke+Devrient GmbH

17. May 2023

As a strategic portfolio expansion in the field of IoT, Giesecke+Devrient is making its second transaction with MECOMO after the acquisition of Pod Group in 2021.

The shareholders of MECOMO AG have sold 100% of the shares to the Giesecke+Devrient Group to enable the company’s further growth in the context of a larger strategic alliance. Giesecke+Devrient, a Munich-based global security technology group, is expanding its product and service portfolio in the IoT market with the acquisition.

Founder and CEO of MECOMO AG, Stefan Heimerl, who will continue to drive the further growth ambitions of the target, is excited about the strategic perspectives for customers and employees: “Central Europe is home to the world’s most prominent logistics companies. Our innovative IoT solutions have established and proven themselves here. As part of the G+D family, we will now help customers worldwide to increase their productivity and sustainability by digitizing logistics processes. In doing so, we are bringing ‘Green Logistics’ to the whole world and making a measurable contribution to protecting our planet.”

For Giesecke+Devrient, this is the second acquisition in the IoT market, following the takeover of Pod Group, an Enterprise Network Operator (ENO) specializing in scalable, mobile-networked solutions for the Internet of Things, in 2021. “Over the last years, we have consistently pursued our strategic goals and invested heavily in our digital portfolio, which now contributes around a quarter of our total revenue. Following the acquisition of Pod two years ago, the purchase of MECOMO now further strengthens our activities in the field of IoT. This enables us to support companies in their digital transformation with a comprehensive offering,” says Ralf Wintergerst, CEO of Giesecke+Devrient, underlining the strategic relevance of the acquisition of the MECOMO AG.

The transaction of MECOMO AG demonstrates the ongoing demand for digital solutions in managing logistics processes, which has also been manifested in a very active M&A environment for supply chain technology in the recent past.

Atares* acted as exclusive M&A advisor to the shareholders in the preparation and realization of the transaction. In addition to the running of a structured sales process, the advisory services included the preparation of marketing and transaction documents, identification and approaching of potential investors including management presentations as well as support in the due diligence and negotiation of the transaction. Through this transaction, atares was once again able to demonstrate its competence and network in the Supply Chain Tech environment as well as the execution of competitive processes. The atares transaction team: Jan Pörschmann (Partner, Munich), Florian Liepert (Director, Munich), and Maximilian Gluchowski (Senior Associate, Munich).
